1. Application of Terms and Definitions

These Terms of Use (Terms) appear on a subpage of a Website (Site) owned and operated by Hof Law, LLC (Hof).  "You" or "your" means the person accessing this webpage and any people that allow others to provide information about themselves to Hof.  The Site may provide accounts, documents, tools, such as fillable forms, and/or other information, regarding our Services.

These Terms apply to your relationship with Hof, whether you read these Terms, or not.  Your access to, and use of, this Site is subject to these Terms and all applicable laws.  To the extent technically feasible and practicable, we reserve the right to terminate your ability to access to this Site if Hof suspects that you violate these Terms, or for any other non-discriminatory reason.  By clicking on links within the Site or subpages beyond the Site's homepage, or by clicking on a box or icon, you agree to these Terms.  If you do not agree with these Terms, do not access or otherwise use this Site, any services available through this Site, or any information contained on this Site.

If you have an engagement letter with Hof, the terms of the engagement letter shall take precedence over these Terms.​

We may make changes to the content available on the Site at any time.  We can change, update, add, or remove provisions of these Terms at any time by posting the updated Terms on the Site.  We could take objectively reasonable lines of effort to provide you with notice of material changes to these Terms as they apply to you.  You waive any right you may have to receive specific notice of such changes to these Terms except for changes to our agreement to arbitrate, which is detailed below.  By using this Site after we have updated the Terms, you are agreeing to the then-current Terms.  You are responsible for regularly reviewing these Terms.  

 

In addition to these Terms, your use of any of the firm's Materials or Services may be governed by additional agreements and/or terms.

 

2. Privacy​

 

Hof does not collect any Personal Identifiable Information (PII) of visitors to the Site.  Visitor data is aggregated to provide general site traffic metrics, such as daily and total visit counts.  Unless a User voluntarily submits PII through a contact form, email, or other means, the firm does not collect, store, or track PII, including IP addresses.  ​​

3. Accessing this Site and Services

Hof reserves the right to withdraw or amend this Site and any Services or Materials provided on this Site, in Hof's sole discretion and without notice.  We will not be liable if, for any reason, all, or any part, of this Site is unavailable for any length of time.  From time to time, Hof may, in Hof's sole discretion and without notice, restrict any part of this Site.  You are responsible for making all arrangements necessary for you to have access to this Site.  Additionally, you are too responsible for ensuring that all people accessing this Site through your internet connection are aware of these Terms and comply with them.

To access the Site, or a certain part of the resources of this Site, you may be asked to provide certain registration details, or other information; it is a condition of your use of this Site that all information you provide is accurate, complete, current, thorough and not misleading.  You too warrant your authority to provide Hof such information in the first place.

The use of your Personal Identifiable Information (PII) on this Site by you is at your own risk, and you are responsible for safeguarding such PII.  You also acknowledge that your account is personal to you, and you agree not to provide any other person with access to this Site, or portions of this Site, using your username, password, or other PII.  You bear the entire risk of any use of your PII, whether you have authorized such use, and whether or not you are negligent.  If you permit other people to use your computer or mobile phone, PII, or any other means to access Hof's Services, you will be held responsible for any transactions undertaken using your PII, and we will not be liable for any damages.

We have the right to disable any username, password, or other identifier, whether chosen by you or provided by us, at any time in our sole discretion for any reason, including if, in our opinion, you have violated any provision of these Terms.

4. Proprietary Rights and Your Use of the Site

Unless otherwise specified in these Terms, all information and screens appearing on this Site are the sole property of us or our Affiliates, and other parties.  We provide content through this Site that is copyrighted or contains protectable trademarks of us or our third-party licensors and suppliers (Materials).  Materials may include documents, services, software, site design, text, graphics, logos, video, images, icons, slogans, tag lines, as well as the arrangement thereof.

Subject to these Terms, we hereby grant to you a revocable, limited, personal, non-exclusive, and non-transferable license to use, view, print, display, and download the Materials for your purposes during adversarial proceedings or to help people.  Except for the foregoing license and as otherwise required or limited by applicable law, you have no other rights in this Site or any Materials and you may not modify, edit, copy, reproduce, create derivative works of, reverse engineer, alter, enhance, or in any way exploit any of the Site or Materials in any manner or for any purpose that would constitute infringement of our, our licensors', or the Site's other users intellectual property rights.  All rights not expressly granted herein are reserved.

 

You shall abide by all additional copyright notices, information, or restrictions contained in any Materials accessed through the Site.  You are prohibited from using this site and Materials to train a machine learning or Artificial Intelligence (AI) system.

This Site is a computer-accessed communication. 22 NYRPC §1200.1(c).  By using this Site or Hof's Services, you consent to receiving electronic communications, including electronic notices, from us.  These electronic communications are part of your relationship with Hof.  You agree that any notices, agreements, disclosures or other communications that we send you electronically will satisfy any legal communication requirements, including that such communications be in writing.

Hof possesses the right to take appropriate legal action, including referral to local or Federal law enforcement authorities, for any illegal or unauthorized use of this Site.  Hof also possesses the right to terminate or suspend your access to all or part of this Site for any non-discriminatory reason, including any violation of these Terms.  You agree to hold us harmless and waive any right to any claim against Hof resulting from any contact that we may make to local or Federal law enforcement authorities.​

9. Reliance on Information and Attorney Advertising

 

Under applicable legal standards, attorney advertising is primarily defined by its purpose—to solicit contact from prospective clients.  This Site does not do so.  Instead, the primary purpose of this Site is to provide general data and information, particularly for professional and industry-related discourse among colleagues.  While the firm is not actively seeking clients at this time, it may consider representing prospective clients who reach out for help.  

 

Even though the firm does not consider this Site to be attorney advertising, out of an abundance of caution, and in alignment with the firm’s commitment to the highest standards of accurate and reliable information, the firm has chosen to adhere to the rules governing attorney advertising.  The firm believes that clarity and transparency are paramount, and it follows these guidelines to ensure that no information presented here is misleading.  Furthermore, the firm recognizes that, for some prospective clients, the classification of this Site may be immaterial to their decision to review its contents.​  Finally, the information of this Site is not legal advice, and any such reliance placed on any information of this Site is strictly at the reader's own risk.  The firm disclaims all liability and responsibility arising from anyone's reliance on any and all materials of this Site.

You acknowledge that we may be irreparably damaged if these Terms are not specifically enforced, and damages at law would be an inadequate remedy.  Therefore, in the event of a breach or threatened breach of any provision of these Terms by you, we shall be entitled, without prejudice to any other rights and remedies that may be sought under the mandatory arbitration provision of these Terms, to an injunction restraining such breach or threatened breach, without being required to show any actual damage or to post an injunction bond, and/or to a decree for specific performance of the provisions of these Terms.
